Revenue Partnership Agreement

This Revenue Partnership Agreement ("Agreement") is entered into between Digit2AI LLC, operating as RinglyPro ("Company"), and the Partner identified below ("Partner").

1. Partnership Terms

1.1 Revenue Share: Partner shall receive 50% of net profits generated from customers referred by Partner to RinglyPro.

1.2 Net Profit Definition: Net profit is defined as gross revenue from Partner-referred customers minus direct costs of service delivery, calculated at approximately 40% profit margin on gross revenue.

1.3 Payment Terms: Commission payments shall be made monthly, within 15 days after the end of each calendar month, for all verified transactions from the previous month.

1.4 Lifetime Value: Partner receives recurring payments for the entire lifetime of each referred customer, as long as the customer remains an active paying subscriber.

2. Partner Responsibilities

2.1 Marketing: Partner agrees to promote RinglyPro services through their unique referral link provided via the RinglyPro dashboard.

2.2 Compliance: Partner shall comply with all applicable laws and RinglyPro branding standards when promoting services.

2.3 Prohibited Activities: Partner shall not engage in spam, false advertising, trademark infringement, or any deceptive marketing practices.

3. Tracking & Reporting

3.1 Referral Tracking: All referrals must be made through Partner's unique referral link to ensure proper tracking and commission attribution.

3.2 Dashboard Access: Partner will have access to a real-time dashboard showing referral statistics, customer conversions, and earnings.

3.3 Disputes: Any disputes regarding referral attribution must be raised within 30 days of the transaction date.

4. Term & Termination

4.1 Term: This Agreement begins on the date of execution and continues indefinitely unless terminated by either party.

4.2 Termination: Either party may terminate this Agreement with 30 days written notice to the other party.

4.3 Post-Termination: Upon termination, Partner shall continue to receive commissions for existing referred customers until those customers cancel their subscriptions.

5. Confidentiality

Partner agrees to maintain confidentiality of any proprietary information received from RinglyPro, including but not limited to business strategies, customer data, and commission structures.

6. Independent Contractor

Partner is an independent contractor and not an employee, agent, or representative of RinglyPro. Partner is responsible for all taxes related to commission earnings.

7. Limitation of Liability

RinglyPro's total liability under this Agreement shall not exceed the total commissions paid to Partner in the 12 months preceding any claim.

8. Governing Law

This Agreement shall be governed by the laws of the State of Florida, United States of America.

9. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, whether written or oral.
